2. Purpose of the Terms and Conditions
These General Terms and Conditions of Sale (the “GTC”) govern the contractual relationships between MySalesCareer, professional clients, and independent sales representatives within the scope of sales assignments organised and managed by MySalesCareer.
3. Orders and Contractual Agreement
Any assignment shall only commence upon signature of a tripartite agreement between the Client, MySalesCareer, and the Sales Representative. No commitment shall be binding on the basis of an email or a quotation alone. Any quotation provided is for indicative purposes only.
4. Invoicing Terms
At the end of each month, a summary of the services performed by the Sales Representative is sent to the Client for validation. Only after such validation will MySalesCareer issue the invoice to the Client and proceed with the payment due to the Sales Representative.
5. Pricing
Pricing is determined on a case-by-case basis depending on the assignment: daily rate, commission on revenue, or per qualified meeting. A commission of 30% excl. VAT is applied by MySalesCareer in addition to the Sales Representative’s remuneration.
6. Late Payment
Payments must be made within 7 days from the invoice issuance date in order to ensure prompt payment to sales representatives. Given the freelance nature of the assignments, late payment penalties are not standardised in accordance with the French Commercial Code. MySalesCareer reserves the right to suspend services in the event of non-payment.
7. Commitments and Quality Assurance
MySalesCareer selects sales representatives through interviews and assessments, organises interviews with the Client, ensures regular monitoring of the assignment, and offers a free replacement in the event of duly justified dissatisfaction.
8. Non-Circumvention Clause
The Client undertakes not to collaborate directly with any Sales Representative introduced by MySalesCareer during the assignment and for a period of up to six (6) months after its completion, unless a formal hiring is carried out through MySalesCareer.
9. Hiring Commission
In the event that a Sales Representative is hired within twelve (12) months following the end of the assignment, the Client agrees to pay MySalesCareer a one-time commission equal to 10% of the gross annual compensation package (fixed and variable).
10. Confidentiality
All information exchanged in connection with the assignment shall remain confidential for a period of three (3) years after the end of the contract. Trade secrets shall remain protected without any time limitation.
11. Personal Data
The Parties undertake to comply with applicable GDPR regulations. No personal or banking data shall be used for any purpose other than the performance of the contract.
12. Duration of the Terms and Conditions
These GTC are valid for an indefinite period, as long as a contractual relationship exists between the Parties.
13. Disputes and Mediation
In the event of a dispute, an optional mediation phase may be initiated. Failing amicable resolution, the dispute shall be submitted to the competent courts of Chalon-Sur-Saône, in accordance with French law.
